End-User Agreement for OffshoreLinks

DEFINITIONS

“Axiom” means Axiom EMI Limited (company number: 11695437), having its registered office at 168 Shoreditch High Street, London, United Kingdom, E1 6RA and which is entering into the Agreement to provide the Services;

“OffshoreLinks” is an online ‘Software as a Service’ product that provides market research, data & forecasting for the offshore O&G and Renewables markets. Axiom is the registered owner of the ‘OffshoreLinks’ trademarks in UK (UK00003854246), EUIPO (No 018803318) and USA (97695236).

“OffshoreLinks Application Services” means any type of an OffshoreLinks license.

“OffshoreLinks License Plan” means any Free OffshoreLinks License Plan or Paid OffshoreLinks License Plan offered inside the OffshoreLinks Application Service.

“OffshoreLinks Enterprise Subscription” means an annual subscription to OffshoreLinks Application Service covered by separate terms and conditions.

“End-user” means any user of the OffshoreLinks Application Services offered by Axiom; all free users, all account owners and all users using a paid license plans in the OffshoreLinks Application Services

 

USE OF THE AXIOM EMI WEBSITE & OFFSHORELINKS APPLICATION

Axiom EMI Ltd is developing and distributing different Application Services for the offshore energy and marine industry based on different license models. The Application Services are available as software as a service (SaaS). The OffshoreLinks Application Services provide an unregistered free access plan, a free license plan, several paid license plans, and an Enterprise Subscription.

An end-user means any user of the OffshoreLinks Application Services offered by Axiom; all free users, all account owners and users using a paid license plans in the OffshoreLinks Application Services

This agreement regulates the basis on which the end-user makes use of the Axiom EMI Application Services which are accessed via: axiomemi.com or offshorelinks.app (Site), and regulates how the end-user interacts with the unregistered free access plan, the free license plan and all types of paid license plans as a part of the OffshoreLinks Application Services.

Please read this End-User Agreement (“Agreement”) carefully before start using the OffshoreLinks Application Services. By using the OffshoreLinks Application Services you agree to be bound by the terms and conditions of this Agreement. If you disagree with the terms of this Agreement, do not click start using any of the Application Services.

  1. PRIVACY

Axiom EMI collects and stores personal data in order to deliver the products you have signed up for and to give you a personalised and valuable service.

We are committed to safeguarding the privacy of our users in accordance with the European General Data Protection Regulations and other current applicable legislations, please read more in our Privacy Policy and Data Processor Agreement.

  1. LOGIN DETAILS & SECURITY

Login details are defined by the end-user.

The end-user should not share the user name and password with or transfer them to any third party, including any other employees in the end-user’s organization. The end-user will ensure that the end-user’ user name and password is kept confidential. The end-user agrees to be solely responsible for the confidentiality and use of the end-user’s user name and password and shall not transfer or resell the use of or access to OffshoreLinks Application Services or  Axiom EMI Ltd website (axiomemi.com) to any third-party.

In the case of any unauthorised use of the end-user’s user name and password or any other breach of security regarding access and use of OffshoreLinks Application Services, the end-user should notify Axiom EMI immediately or as soon as possible after the breach becomes known to the Customer.

Access and use of OffshoreLinks Enterprise Subscription service from the Site is limited to the authorised users as specified in the relevant Subscription Package with your employer. You have no independent right to access and use the OffshoreLinks Enterprise Subscription service, and your right to access and use OffshoreLinks Enterprise Subscription service will cease when your employment with your employer terminates, or when your employer terminates its Subscription Package with Axiom EMI.

  1. Restriction of use of OFFSHORELINKS LICENCE PLANS, OFFSHORELINKS ENTERPRISE SUBSCRIPTIONS or any OFFSHORELINKS content access on a free basis

3.1 You must not use OffshoreLinks unlawfully or for unlawful purposes or in a manner that is in breach of the terms, provisions or stipulations defined in this Agreement;

3.2 You must not knowingly introduce viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful to OffshoreLinks;

3.3 You must not attempt to gain unauthorised access to OffshoreLinks, the server on which OffshoreLinks is stored or any server, computer or database connected to OffshoreLinks;

3.4 You must not override any security feature or bypass or circumvent any access controls or use limits of OffshoreLinks

3.5 You must not develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape OffshoreLinks or otherwise copy its content and data;

3.6 You must not use bots or other automated methods to access OffshoreLinks or download its content and data outside its existing download functionality for subscribed users;

3.7 You must not attack OffshoreLinks via a denial-of-service attack or a distributed denial-of-service attack;

3.8 You must not reproduce, duplicate, copy, distribute, make available to any unauthorised user or third-party outside of your organization or re-sell any part of OffshoreLinks or its content;

3.9 You must not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, underlying ideas, underlying user interface techniques or algorithms of OffshoreLinks, in whole or in part, by any means whatsoever, directly or indirectly

3.10 You must not access OffshoreLinks in order to (a) build a competitive product or service or (b) copy any ideas, features, functions, or designs of OffshoreLinks license plans as a part of the OffshoreLinks Application Services.

  1. COPYRIGHT POLICY & USE OF CONTENT

OffshoreLinks license plans as a part of the OffshoreLinks Application Services, all intellectual property rights therein, and all intellectual property rights related to the delivery and provision of support are owned or licensed by Axiom EMI Ltd. The End-User acknowledges that any and all copyrights, trademarks, trade names, patented and/or patentable rights, and all other intellectual property rights existing in or used in connection with OffshoreLinks license plans as a part of the OffshoreLinks Application Services, are the sole property of Axiom EMI Ltd or its licensers.

Any republication, redistribution or re-editing or other use of this material in any form, including by framing or similar means, or by electronic linking, is prohibited without the prior consent of Axiom EMI. Requests to reproduce any material should be addressed to: 

  1. VIRUSES

Axion EMI does not guarantee that the Site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programs and platform in order to access the Site. You should use your own virus protection software.

You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990.
